Article 65 Exceptions to obligations of legal entities and legal arrangements


Articles 63 and 64 shall not apply to:

  1. companies whose securities are admitted to trading on a regulated market, provided that:

    1. control over the company is exercised exclusively by the natural person with the voting rights;

    2. no other legal entities or legal arrangementsmeans an express trust or an arrangement which has a similar structure or function to an express trust, including fiducie and certain types of Treuhand and fideicomiso; are part of the company’s ownership or control structure; and

    3. for foreign legal entities under Article 67, equivalent requirements to those referred to in subpoints (i) and (ii) of this point exist under international standards;

  2. bodies governed by public law as defined in Article 2(1), point (4), of Directive 2014/24/EU of the European Parliament and of the Council(43)Directive 2014/24/EU of the European Parliament and of the Council of 26 February 2014 on public procurement and repealing Directive 2004/18/EC (OJ L 94, 28.3.2014, p. 65)..
